Slovenia: EC approved MOL’s acquisition of OMV Slovenia

The European Commission has approved the acquisition of the Slovenian subsidiary of the Austrian OMV Group by Hungarian oil and gas company MOL. The statement from the EC said that the approval follows an in-depth investigation of the proposed acquisition and is conditional on the divestiture of 39 petrol stations in Slovenia, currently operating as part of the fuel station networks of both MOL and OMV, to the Shell Group.

In March, MOL agreed to sell 39 of its petrol stations in Slovenia to Shell to obtain the approval of the European Commission for the purchase of OMV Slovenia’s fuel network.

In June 2021, MOL Group reached an agreement with OMV to acquire OMV’s 92.25% stake in OMV Slovenia, in which Croatian INA already holds a 7.75% minority stake, from OMV Downstream GmbH as a direct shareholder.

The agreed purchase price is 301 million euros (100 % share of OMV Slovenia). The transaction includes 120 petrol stations across Slovenia.  It is subject to merger clearance.
